1. To Join. Void where Prohibited. To join the Less is More Sweepstakes community, sponsored by ISI Brands Inc. ("Sponsor"), visit ("Website") between 9:00:01 a.m. EST on September 25, 2009 and 11:59:59 p.m. EST on November 30, 2009, and follow the onscreen instructions for registering. In case of dispute, entries and votes will be declared made by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Access Provider, online service provider or other organization (e.g., business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. 2. Entries. To enter into any level of the Sweepstakes you must accumulate the requisite number of points for that drawing level, as set forth more fully in Section 5 below, either directly or indirectly as described in this section. Once a participant reaches the requisite level of points for a particular drawing level that participant will get only one (1) entry into the corresponding point level drawing. In order to receive points for the completion of an action a participant must certify completion of an action through an email sent by Sponsor to the participant. If a completion of an action is not certified through the Sponsor's email, no one will receive points from that participant's completion of an action. A participant may accumulate points directly or indirectly:

  1. Accumulating Points Directly. A participant can accumulate points directly in the following two ways:

    1. a participant will earn one (1) point for each time they certify that they have completed an action posted on the Website including any action the participant has posted; and

    2. if a participant creates their own action and posts it on the Website, then that participant will earn two (2) points for every time another person certifies that they have completed the action created by the participant (i.e., if the creator completes their own action, while they will get one (1) point for completing the action, they will not also get an additional two (2) points for the action they created having been completed by themselves).

  2. Accumulating Points Indirectly. A participant that has created their own action and posted it to the Website for others to complete can also accumulate points indirectly through “Recruits” and “Affiliates,” each as defined herein. A “Recruit” is defined as a new participant that first signs up to complete an action that you have created. Thus, if the first action that a new participant signs up to complete is an action that you created, then, whether or not the new participant actually certifies that they have completed that action, that new participant is your “Recruit.” For purposes of clarity, referral of a new participant to the Less Is More Sweepstakes Website does not make such new participant your Recruit. Rather, that new participant will become a Recruit of the creator of the first action for which that new participant signs up to complete (whether or not the new participant actually ever completes that action). Thus, if you are a participant that has created an action and you wish to refer others to join the Sweepstakes as your Recruit, you must be sure to communicate to your referrals that the first action for which they should sign up at the Website is an action that you have created.

    If someone that is your Recruit creates and posts to the Website their own action, then they too can take on their own Recruits (if a new participant first signs up for your Recruit’s action). Likewise, if your Recruit’s Recruit creates their own action, then they too can take on their own Recruits, and so on. Thus, an “Affiliate” is defined as any Recruit of a participant as well as any other participants that have entered the Less Is More Sweepstakes community as a Recruit of your Recruit, a Recruit of your Recruit’s Recruits, and so forth down the line. By way of example, assume Person “A” has created an action that is posted on the Website and person “B” is their Recruit. If Person “B” then creates their own action and gets their own Recruit, called Person “C”, and Person “C” then creates their own action and gets their own Recruit, called Person “D”, then Persons B, C, and D are all Affiliates of Person A. If a participant is higher up this “family tree” then they are considered an “Upline” Affiliate, and if a participant is below you then they are considered a “Downline” Affiliate. Thus, in the example above, Person A is an Upline Affiliate of Person B, while Persons C and D are Downline Affiliates of Person B (as well as being Downline Affiliates of Person A).

    Thus, assuming that a participant has created and posted to the Website their own action, and also assuming that such participant has thereby gained Recruits and/or other Affiliates, then that participant can indirectly earn points through the completion, by anyone, of a Downline Affiliate's posted action. More specifically a participant that is an Upline Affiliate will earn the same number of points as are earned by any of that participant's Downline Affiliates for the completion by any person (other than the Downline Affiliate themselves) of an action created by that Downline Affiliate and posted to the Website (thus, using the example above, if someone has certified completion of an action created by Person D, not only would Person D get two (2) points (through the direct point accumulation mechanism described above), but Person A, Person B, and Person C (all of Person D’s Upline Affiliates) will also each earn two (2) points).

    Any actions created for posting to the Website must be non-commercial in nature and approved by Sponsor's Sweepstakes representative before they will be posted to the Website. Those actions that Sponsor's Sweepstakes representatives find inappropriate for the Sweepstakes will be denied posting on the website. What is deemed inappropriate shall include, but not be limited to, actions that are commercial in nature, use profanity, suggest anything illegal, are sexual in nature, recommend use of any pharmaceuticals or drugs of any kind, are harmful to yourself or others, make medical claims, recommend a medical treatment/procedure or otherwise offer medical advice, or are disparaging to a person, brand, product or trade name. Decisions regarding whether an action is appropriate for posting to the Website shall be in the sole and absolute discretion of the Sponsor's Sweepstakes representatives who shall be the final judge in all such decisions.

    Different participants may create and post actions that are very similar or even identical. This is not prohibited by the rules, and the Sponsor will not attempt to stop the posting of actions that are very similar to or even identical to other actions that have been posted to the Website. For purposes of clarity, in order to accumulate points for another participant having completed an action that you created, when the participant certifies their completion of the action, they must do so at the posting on the website that is associated with your user name. Thus, if you and “Participant XYZ” both posted identical actions, and a third participant certified that they had completed that action at Participant XYZ’s posting on the Website, then Participant XYZ would be credited with two (2) points and you would not be credited with any points, even though the underlying action that was completed was the same as the action you created.

3. Point Structure Example. The following is an example of a possible scenario of the accumulation of points:

  1. Bob creates an action – Bob gets zero (0) points (no points are given for the initial creation and posting of an action).

  2. Bob completes in his own action – Bob gets one (1) point (for purposes of clarity, while two (2) points are typically earned when an action you created is completed, that is only when the action was completed by somebody other than you, thus in this case, Bob receives the one (1) point for completing the action, but he does not also receive an additional two points for completing the action he created).

  3. Jane completes Bob's action – Bob gets two (2) points and Jane gets one (1) point.
    1. Jane is a new participant in the Less Is More Sweepstakes community and Bob’s action is the first action that Jane signed up for – so, Jane is a Recruit of Bob
  4. Jane creates an action – no points for anyone.

  5. Jane completes her own action – Jane gets one (1) point and Bob gets zero points (since Jane completed her own action she does not get the two points a creator normally gets when their action is completed by another and thus those points are not available to be indirectly earned by Jane’s Upline Affiliate Bob either).

  6. Mark completes Jane's action – Mark gets one (1) point and Jane and Bob each get two (2) points (Jane directly because the action she created was completed, and Bob indirectly because Jane is his Downline Affiliate).

4. Sponsor's Sweepstakes representatives shall be the final judge, in their sole discretion, on the posting of any and all actions. Sponsor reserves the right to verify the completion of any actions, however Sponsor is not obligated to verify the completion of any actions. Each participant certifies that any action they mark as completed shall in fact have been an action that the participant has actually completed. Any fraudulent entries identified by Sponsor shall be referred to the appropriate authorities and prosecuted to the fullest extent of the laws. A participant submitting a fraudulent entry shall be removed from the Sweepstakes and all points removed from the Sweepstakes.

5. Accumulation of Points. The Sweepstakes has five (5) separate drawings based on the level of points accumulated. Participants with 5 points or more will gain one entry into the first drawing. Participants with 100 points or more will gain one entry into the second drawing in addition to entrance into the previous drawing. Participants with 250 points or more will gain one entry into the third drawing in addition to entrance into the previous drawings. Participants with 500 points or more will gain one entry into the fourth drawing in addition to entrance into the previous drawings. Entrants with 1,000 points or more will gain one entry into the final drawing in addition to entrance into the previous drawings. One entry corresponds to one chance to win the drawing. Any points accumulated above the stated entry level do not increase a participant’s chance to win the drawing for that point level. If a drawing has no eligible entrants based on points accumulated, the prize in that particular drawing will be drawn in a drawing among the eligible entrants in the next lower point group in which eligible entrants are available. For those drawing levels that have multiple prizes (each the same), a participant may only win one (1) prize for that point group drawing level. The chance of winning depends on the number of eligible entries into each drawing.

6. Prizes. Each winner shall be selected by random drawing. The winner of the 1000 point drawing shall receive a trip to New York Fashion week February 2010, including coach airfare for two (2), four (4) nights in one double occupancy hotel room, two (2) VIP tickets to Fashion Week, and spa treatment for two (2), with an Approximate Retail Value ("ARV") of $5,500. Five (5) winners of the 500 point drawing shall receive a Total Gym workout system with an ARV of $1,500. Ten (10) winners of the 250 point drawing shall receive five (5) 50 minute coaching sessions via tele-seminar with Kathy Jordan for a custom designed Weight Loss and Eating Behavior Management Program with an ARV of $500. Fifty (50) winners of the 100 point drawing shall receive a and personal development DVD Set with an ARV of $200. One-hundred winners of the 5 point drawing shall direct a donation made on their behalf to their choice of one of three preselected charities with an ARV of $25. The winner is responsible for all taxes, fees, registration, insurance, and legal compliance related to the ownership and operation of the vehicle.

7. General Conditions. Sponsor will have all rights to copy, edit, broadcast, publish and use, in whole or in part, any entry in any manner without further compensation (except where prohibited by law). Winner will be notified by email, mail and/or phone within thirty (30) days of determination of winner at the address or phone number or e-mail on the entry. If a winner cannot be located or does not respond to claim a prize within fourteen (14) days after notification, the prize will be awarded to an alternate winner. All federal, state and local taxes are the sole responsibility of the winner. Winner will be required to sign a Winner’s Affidavit of Eligibility and Release Form within fourteen (14) days of receipt. In the event of noncompliance, an alternate winner will be selected. By acceptance of a prize, winner agrees without limitation to submit to an interview by Sponsor and to Sponsor's use of his/her name, interview, story, action, photograph and/or likeness for publicity purposes all without any additional compensation, except where prohibited by law. Prizes are transferable at the sole discretion of the Sponsor. Participants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to this Sweepstakes. By participating in this Sweepstakes, participants agree that Sponsor and its respective representatives, agencies, affiliates, subsidiaries, directors, officers and employees have no liability whatsoever for any injuries, losses or damages of any kind resulting from the acceptance, possession, use or misuse of any prize or technical, hardware, software or telephone failures of any kind, cost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by Sponsor, users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit an participant’s ability to participate in the Sweepstakes. Sponsor may prohibit a participant from participating in Sweepstakes or winning a prize if, in their sole discretion, they determine that said participant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other participants or Sponsor’s representatives. Sponsor reserves the right to terminate or amend this Sweepstakes, in whole or in part, at any time without notice, if any factor including without limitation virus, bugs, or non-authorized human intervention, interferes with its conduct as contemplated by these Official Rules. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. This Sweepstakes and the validity, construction and effect of these Official Rules shall be governed by the laws of the State of Michigan. The parties hereto agree to submit to jurisdiction in the State of Michigan.

8. Eligibility. Must be a legal resident of the 50 United States, including the District of Columbia, 18 years or older at the time of entry and have had Internet access prior to the first date of the Contest to win. Employees of ISI Brands Inc. and their immediate family members are prohibited from entry. Immediate family members include relatives living at the same address as an employee. Void where prohibited, taxed, licensed, or restricted by law. All federal, state and local laws and regulations apply.

9. Winner’s List. Name of winners is available upon request by sending a self-addressed, stamped envelope by January 1, 2010, to ISI Brands Inc., Attn: ‘Less is More Sweepstakes,’ 632 Broadway 11th Floor, New York, NY 10012.
